Scope

These terms apply to the use of this website and to the request-for-quote (RFQ) review service provided by Energetika-VDS (Energetika-VDS). Manufacturing engagements that proceed beyond the quote stage are governed by a separate written contract that supersedes these terms for the work covered by that contract.

Customer obligations

By submitting design files, BOMs, gerbers, firmware binaries, or other materials through the quote form, you confirm that you have the authority to share them and that doing so does not violate any third-party intellectual property right or confidentiality obligation.

You are responsible for the accuracy of the information you submit. Quotes we return are based on the files and specifications you provide; material errors in the inputs may invalidate the quote.

Confidentiality

We treat your design files, BOMs, firmware, and project information as confidential by default. Internal access is limited to the engineering, sourcing, and production team members working on your project. An NDA is available on request before exchange of sensitive files.

Confidentiality obligations survive termination of any engagement for a period of five years from the last exchange of confidential information.

Quotes and quote validity

Quotes are non-binding until both parties sign a manufacturing contract or purchase order. Quote validity is 30 days from issue date unless stated otherwise on the quote itself. Pricing may be adjusted to reflect component market movements between quote and order placement.

Limitation of liability

The quote review service is provided on a best-effort basis. To the extent permitted by law, our aggregate liability arising from or related to this website and the quote review process is limited to direct damages and shall not exceed the fees, if any, paid to us for that specific quote. We are not liable for indirect, incidental, or consequential damages including loss of profits, business interruption, or loss of data.

Nothing in these terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

Intellectual property

You retain all rights in the design files and materials you submit. We claim no ownership over your designs. The content of this website (text, graphics, layout) is owned by Energetika-VDS and may not be reproduced without permission, except for fair use such as quotation and commentary.

Governing law and jurisdiction

These terms are governed by the laws of North Macedonia. Disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in Strumica, North Macedonia, unless a separate manufacturing contract specifies otherwise.

Changes to these terms

We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Material changes will be highlighted on the page for a reasonable period after publication.
